This Risk Disclosure, Disclaimer, and Legal Notice (the "Disclaimer") applies to Taunt Network Ltd., a limited liability company organized under the laws of the Republic of Seychelles ("$TAUNT," "we," or "us") and any individual or entity that accesses or uses $TAUNT (the "Token"). Any statements and representations made by us or on our behalf, and any use of the token regardless of whether such Project is owned, operated, developed or otherwise controlled by us, shall be subject to this Notice. By accessing or using the Token, you (the "User" or "you") agree to be bound by this Disclaimer.
The Token is a utility, governance, and platform token. This Disclaimer does not constitute legal, financial, or business advice, and you should consult your own lawyer before engaging in any activities related to the Token.
Taunt Network Ltd, its project team members, and its service providers will not be liable for any indirect damages that you may suffer as a result of accessing this material or using the Token. The Token has no guaranteed value and should not be regarded as an investment product. It is intended solely for use within the Taunt Battleworld ecosystem and should not be speculated upon as an investment.
For clarity, community of $TAUNT token holders do not have any legal authority to make decisions regarding $TAUNT enabled games or platforms, Taunt Limited LTD, or any of its assets, or any of its Group Entities (including, but not limited to, the selection of the governing board of a company, corporate matters, development direction, specific projects, or the use of a company's assets). These matters are the sole responsibility of the governing board of the relevant company.
In addition, the Tokens are subject to additional terms and conditions that may be amended by us from time to time.
1. The Token
Taunt Battleworld is a play-to-earn and view-to-earn game that utilizes cryptographic tokens as a means of reward for users and spectators. This game, inspired by fighting games such as Street Fighter and Mortal Kombat, combines strategy, training, and discovery in order to provide a challenging yet accessible gaming experience. In Taunt Battleworld, users can engage with live content and earn in-game currency by predicting and influencing gameplay in real time.
To participate in Taunt Battleworld, users must acquire tokens to pay for subscription or entry fees and obtain unique non-fungible tokens (NFTs) representing in-game characters. These NFTs can be obtained through a process called "quickening," which involves breeding two compatible NFTs using tokens as payment. The token is a crucial element of the Taunt Battleworld ecosystem, as it is used to facilitate all transactions, including payment for platform entry fees, purchasing in-game characters and NFTs, and combining in-game character NFTs through breeding.
By accessing or using the Token, you represent and warrant that you are doing so solely for the purpose of participating in the Taunt Battleworld ecosystem and obtaining services or utility within that ecosystem. Taunt is not acting as a financial, legal, or fiduciary advisor to you in connection with the distribution of the Token. You are solely responsible for ensuring compliance with all applicable laws at your own expense, and you will be held responsible for any violations of such laws.
This Disclaimer does not create any agency, partnership, or joint venture between $TAUNT and you. By accessing or using the Token, you acknowledge that you have read, understand, and agree to be bound by this Disclaimer and Taunt's privacy policy, which is incorporated herein by reference. Taunt reserves the right to update, modify, or change this Disclaimer at any time at its sole discretion. Continued access to or use of the Token will constitute acceptance of any such updates, modifications, or changes. You are encouraged to review this Disclaimer on a periodic and ongoing basis.
Please note that the information contained in Taunt's whitepaper and website has not been licensed, approved, or certified by any regulatory authority. You should be aware of the risks associated with this material, regardless of whether it has received informal approval under any laws or whether any formal action has been taken against Taunt for non-compliance with regulations.
2. Governance Rights on Platform Improvements
As governance tokens, $TAUNT give holders the ability to propose and vote on changes to the platform through a three-step process that includes solicitation of interest on the community forum, a consensus vote through a Taunt Improvement Proposal (TIP), and implementation. $TAUNT holders may also have the right to improve gameplay and platform functionality, as well as enhance the play-to-earn (P2E) and view-to-earn (V2E) interactive gaming experience.
$TAUNT holders have a limited but meaningful role in the management and operation of the Taunt Battleworld platform. They have voting rights on various functional aspects of the platform, including improvements, gaming features, and enhanced token utilities. These governance rights are designed to improve the user experience, enhance the appearance and functionality of the platform, and are not intended to increase buying pressure on the token or improve token economics or investment returns."
3. $TAUNT Whitepaper – Utility and Platform Token
This whitepaper is for informational purposes only and does not constitute any binding commitments. The information contained in this whitepaper is subject to change. The Token is intended for use on the Taunt Battleworld gaming platform and has been designed for maximal platform utility and ease of use. It powers the Taunt Battleworld ecosystem and can be used to pay user entry/subscription fees, purchase and sell non-fungible tokens (NFTs), increase the odds of obtaining genesis NFTs through whitelisting, pay for quickening fees, and reward users for viewing battles, winning, and enabling spectators to predict outcomes for free. The watch-and-earn fees include NFT non-consumables fees (such as Skins), NFT finishing maneuvers animation fees, NFT Taunt end fight animation fees, NFT entrance fees, and Sprit fees (lives). The play-and-earn fees include NFT fighter fees, NFT quickening fees, subscription fees, and fight entry fees. Taunt reserves the right to change, remove, or alter these features at its sole discretion.
4. Play-to Earn, View-to-Earn, Engage-to-Earn
The Token powers the game’s most compelling aspects, including the play-to-earn (P2E) and view-to-earn (V2E) gaming functionality. Users that win battles will earn prizes paid for the round, which are paid out exclusively in the Token. Alternatively, viewers can predict the outcome of the battle and earn Tokens based on their prediction. View-to-earn mechanics will be handled by Taunt Battleworld.
Blockchain
The $TAUNT will initially be launched on the Ethereum (ERC-20) network, and the Taunt Battleworld game will use the Polygon (Matic) network (referred to here as the "blockchain") to enable its use as a platform currency for all on-platform transactions, aiming to reduce settlement times and transaction fees. The blockchain is a decentralized, peer-to-peer network that is not owned or controlled by $TAUNT.
For a transaction to be validated on the blockchain, it must be confirmed and recorded on the distributed ledger associated with the blockchain. These transactions or similar activities create a direct contractual relationship between the seller and the buyer, and $TAUNT is not a party to this contract. Therefore, $TAUNT does not have any insight into or control over these payments or transactions, and cannot reverse any transactions or provide any guarantees, warranties, or assurances regarding them. As a result, $TAUNT will not be liable for any claims, damages, or losses that may arise from any transaction that the user engages in regarding the token.
$TAUNT reserves the right, at its sole discretion, to change to or use other or multiple networks, programs, exchanges, or blockchains.
Notice
You may not participate in the distribution of the Token if (1) you are a citizen or resident of a jurisdiction where the Token may be considered a sale of securities or (2) participation in such distributions is prohibited by law (e.g., the United States, the People's Republic of China, or Canada). You may be required to undergo identity verification by $TAUNT and its affiliates.
5. NO Warranty
All sales of Tokens on the $TAUNT platform are final and $TAUNT is not obliged to return any part of the original purchase price. $TAUNT reserves the right, within its sole discretion, to modify or discontinue any aspect or feature of the Tokens without notice and will not be liable for any actions taken in this regard.
$TAUNT is not under any obligation to return to the buyer any amount of any original purchase price. All sales of Tokens on the $TAUNT platform are final.
$TAUNT reserves the right, within $TAUNT’s sole discretion and without limitation or notice, to alter, modify, redesign, suspend, discontinue any aspect or feature of the Tokens. $TAUNT shall not be liable to User or any third party for any respective action.
6. Taunt Battleworld is in Alpha Phase
Taunt Battleworld is currently in Alpha stage, which means it is an experimental software. It is not owned, operated, developed, or controlled by us. The project is provided on an "as is" and "as available" basis, without any warranties, either expressed or implied. This includes, but is not limited to, warranties that the Project is free of defects, vulnerabilities, suitable for a particular purpose, or non-infringing. Using the Project is at your own risk. We cannot be held liable for any claims, losses, damages, or other liabilities that may arise in connection with the project or its operation or use.
$TAUNT reserves the right to amend, remove, or change these features at $TAUNT’s sole discretion.
$TAUNT is not under any obligation to return to the buyer any amount of any original purchase price. All sales of Tokens on the $TAUNT platform are final.
$TAUNT reserves the right, within $TAUNT’s sole discretion and without limitation or notice, to alter, modify, redesign, suspend, discontinue any aspect or feature of the Tokens. $TAUNT shall not be liable to User or any third party for any respective action.
7. Representations and Warranties
If User is accepting these Terms on behalf of another company or entity, User represents and warrants that User has full authority to bind such company or legal entity to these Terms, in which case “User” will mean that company or entity.
User represents and warrants that their procurement of the Token was rightfully and legally acquired through a legitimate source.
User represents and warrants that User is solely responsible to pay any and all sales, use, value-added, and other taxes, duties, and assessments now or hereafter claimed or imposed by any governmental authority associated with User’s ownership and transferring of Tokens.
Tokens are only available to persons who are of legal age (18 years of age or older) and capable of forming a binding contract with $TAUNT, and not otherwise barred from using $TAUNT’s platform under applicable law. By using, accessing, acquiring, procuring, purchasing, selling, transferring, or calling into action the Token, User represents and warrants that User is of legal age and capability to form a binding contract with Taunt and meet the foregoing eligibility requirements in accordance with applicable law
User does not rely on any statement set out in the token documentation, marketing collateral,
or website affiliated with Taunt Battleworld or Taunt Network Ltd
Taunt does not place emphasis on managerial efforts of the Taunt Network team to drive commercial success. Token holders are not incentivized to purchase the Token based upon expectations of profits derived from the managerial efforts of the Taunt Network team
$TAUNT does not make any representations or give any warranty in respect to any characteristics of Tokens. All warranties are expressly excluded to the maximum extent permitted under applicable laws. $TAUNT has endeavored to take reasonable measures and apply reasonable care in the preparation of the Tokens.
8. User’s Responsibility
Upon acquiring, procuring, purchasing, selling, transferring, or calling into action of the Token, User is encouraged to promptly take necessary steps to complete User’s transaction.
User is solely responsible of ensuring that any process, devices, or services that User employs to use or access the Token (or any of $TAUNT’s platforms) do not expose User to the risk of viruses, potentially malicious computer code, or other forms of interference that may damage User’s computer system or any data contained therein. To the greatest extent permitted by law and without limiting the generality of this Section, Taunt excludes any liability for any damage, loss, or interference to User’s devices, computer system, or any data contained therein in connection with User’s use or access to the Tokens (or any of $TAUNT’s platforms).
9. Restrictions
Taunt does not grant, by implication, estoppel, or otherwise, any license or right to use any Token in a manner inconsistent with these Terms without the prior written permission of $TAUNT.User shall not modify, decompile, disassemble, or otherwise tamper with or circumvent all or any portion of the Token, which includes but is not limited to, the underlying rules, mechanics, or code of the Tokens. Furthermore, User shall not reverse engineer any source code that is not open source regarding the Tokens or otherwise attempt in any way to derive or otherwise determine the source code for the operation of the Tokens.User shall not adapt, reproduce, store, distribute, print, display, publish, or create copies or derivative works from any part of Tokens.User shall not utilize any automated software or “bots” in relation to the use or access of Tokens.Users shall not knowingly or negligently perform any actions that may cause the computers used to support Tokens to become overloaded or crash.User shall not use any data gathering, extraction tools, or software to extract information from Tokens; or, utilize framing techniques to enclose any of the contents of the Tokens.
Risk Disclosure
10. Assumption of Risk
User acknowledges the following: (1) markets and prices for blockchain assets are extremely volatile, variations in prices for other digital assets could materially and adversely affect the value of any Token that User owns, and there is no guaranty that any Token User owns will have or retain any value; (2) there are risks associated with $TAUNT, NFTs, cryptocurrencies, and other internet-native assets, including but not limited to, the risk of hardware, software, and internet connectivity failures, malicious software, and the risk that third parties may obtain unauthorized access to User’s assets, and neither $TAUNT nor any of its licensors shall be responsible for, or have any liability with respect to, the aforementioned; (3) changes to the Blockchain may have adverse effects on all blockchains using such platform, including but not limited to, Tokens owned by User; and, (4) $TAUNT not shall be responsible for, or shall have any liability with respect to, any transaction between User and a third party.
Upon using, owning, controlling, accessing, or transferring the Token, User is responsible for any loss, damage, or loss of access to Tokens and $TAUNT shall have no liability, regardless of cause, in such circumstances of loss, damage, or loss of access. User expressly understands and agrees that the use of Tokens is at User’s sole risk and that Tokens are provided “as is” and “as available.” All sales of Tokens on the Taunt platform or through partners, and individual 3rd parties are considered final.
11. Indemnification
User agrees to indemnify, defend and hold harmless $TAUNT, its officers, directors, employees, agents, and vendors, for any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with your violation of these Terms or relating to or arising out of User’s use of or inability to use Tokens.
12. Limitation of Liability
To the maximum extent permitted by law, $TAUNT shall not be liable for any incidental, special, exemplary, or consequential damages, or damages for lost profits, lost revenues, lost savings, lost business opportunity, loss of data or good will, service interruption, computer damage, or system failure; or, the cost of substantive services of any kind arising out of or in connection with these Terms or from the use of or inability to use the Token, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Taunt has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.
To the maximum extent permitted by law, in no event will $TAUNT’s total liability arising out of or in connection with these Terms or from the use or inability to use the Token exceed one hundred U.S. dollars ($100).
The exclusions and limitations of damages set forth above are fundamental elements of the basis of the Terms between $TAUNT and User.
Taunt neither owns nor controls the Blockchain or any other third-party sites, products, or services that you might access, visit, or use for the purpose of enabling you to use the Token. $TAUNT will not be liable for the acts or omissions of any such third parties, nor will we be liable for any loss or damage you may suffer as a result of your transactions or any other interaction with any such third parties.
13. Breach and Remedies
User understands and agrees that observance with User’s obligations under these Terms is of significant importance to $TAUNT and that, if User breaches these Terms, $TAUNT would incur losses and other detrimental consequences that might not easily be cured. If User breaches any provision under these Terms, $TAUNT shall have the right to seek specific performance in respect to User’s obligations under these Terms, which includes but is not limited to, the right to request User to cease and desist from committing any breach of such obligations, whether or not this forces User to abandon any commercial activity or not to pursue any opportunity at that time (cease and desist injunction).
14. Termination
The game engine that presents all of the action of contests is being built on Unity. As the world's most widely used game engine, Unity allows us to scale gameplay .$TAUNT may, within $TAUNT’s sole discretion at any time or for any reason in accordance with applicable law, immediately terminate User’s access to all or any part of the Tokens without notice or liability. Termination may include, but is not limited to, removal of User’s access to or listing of Tokens on $TAUNT’s platform, the deletion of all account information related to Tokens, and barring any further use of or access to the Taunt platform by User.
$TAUNT may terminate these Terms if, in $TAUNT’s sole discretion, $TAUNT determines that there has been a breach of these terms, any other breach of any other agreement between User and $TAUNT, or any violation of applicable law.
Upon termination, User will cease using Tokens and return to $TAUNT any Tokens in User’s possession. Termination of these Terms do not relieve User of their obligation to pay any amounts owed up to and including the date of termination platform through mobile/PC and any other platforms quickly. Ultimately, our goal is that you will be able to play Taunt Battleworld on the platforms that you prefer.
15. Assignment
These Terms are for the benefit of the parties and their successors and assigns. The parties and their successors and assigns are bound by these Terms. To the extent that any party purchases a Token from you, they are deemed to have taken an assignment of these Terms as published at the time of the purchase and you must provide that party with a link or copy of these Terms.
$TAUNT, without your consent and without restriction, may freely assign all of Taunt’s rights and obligations under these Terms to a future affiliated entity in any jurisdiction. These Terms shall be binding upon and inure to the benefit of the permitted assignee of $TAUNT.
16. Waiver
$TAUNT’s failure to enforce any right or provision of these terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of $TAUNT. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
17. Force Majeure
Taunt shall not be liable for any delay or failure to perform $TAUNT’s obligations under these Terms if such delay is due to any circumstance beyond our reasonable control, including but not limited to, epidemics, pandemics, blockchain congestion or attacks, government sanctions or orders, whether known or unknown at the time the parties enter into these Terms.
18. Governing Law and Forum Choice
These Terms and any action related thereto will be governed by the laws of the Republic of Seychelles, without regard to its conflict of laws provisions. The parties expressly consent to personal and exclusive jurisdiction in the courts located in the Republic of Seychelles, and you and $TAUNT each waive any objection to jurisdiction and venue in such courts.
19. Severance
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
20. Entire Agreement
These Terms constitute the entire agreement of the parties in respect to the subject matter of these Terms and supersedes all prior discussions, representations, undertakings, and agreements. None of our agents or representatives are authorized to make any representations, conditions, or agreements not expressed by us in writing nor are we bound by any such statements.
